This Website Development Agreement ("Agreement") is made and entered into between OMR, LLP. ("Developer") and TrueAsset Consultancy ("Client"), collectively referred to as the "Parties."

Scope of Work:

The company agrees to provide website development services to the Client as per the specifications provided by the Client. The website will be developed using PHP and will be fully functional, responsive, and optimized for search engines.

Payment Terms:

The Client agrees to pay the Company a total of INR 38,000 for the development of the website. The payment will be made as follows:

• INR 10,000 as an upfront payment before the development work starts.

• INR 18,000 will be paid after the completion of the website design and layout.

• INR 10,000 will be paid after the website's final development and deployment.

Timeline:

The Company agrees to complete the website development within 30 days from the date of signing this Agreement.

Intellectual Property Rights:

The Client acknowledges that all intellectual property rights, including copyrights, trademarks, patents, and trade secrets, associated with the website, shall be owned by the Company until full payment is received. Once the payment is made in full, the Company agrees to transfer all rights to the Client.

Confidentiality:

The Parties agree to maintain the confidentiality of any information disclosed to them during the term of this Agreement.

Indemnification:

The Client agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising out of the use of the website.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], and any dispute arising out of or relating to this Agreement shall be resolved in [Jurisdiction] courts.

Entire Agreement:

This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous agreements, negotiations, understandings, or representations, whether written or oral.

Amendment:

This Agreement may be amended or modified only by a written instrument executed by both Parties.
